Terms of Use

These Terms of Use govern access to and use of the ALL‑SCRATCH!® platform, THE HERO game, the Hero Card marketplace, ALETHA™ AI interactions, ALETHRA™ governed infrastructure, and all related services. By accessing or using any ALL‑SCRATCH!® service, submitting a scratch photograph, minting a Hero Card, or participating in the marketplace, you agree to these Terms.

If you access ALL‑SCRATCH!® on behalf of a minor as their parent or legal guardian, you represent that you have the authority to bind them to these Terms and that you assume full responsibility for their compliance. If you do not agree to these Terms, you must not access ALL‑SCRATCH!® materials or services.

ALL‑SCRATCH!® operates a governed digital collectible and educational platform built on sovereign infrastructure. The platform uses defined roles and system boundaries so users understand what each layer does and does not do.

THE HERO is a universal platform designed for all ages. Access is structured to ensure legal compliance and community safety across three user tiers.

Adult Accounts (18+): Adults have full access to minting, trading, and the fiat marketplace. Identity verification (KYC) via Stripe Identity is required to withdraw funds. Adults are responsible for ensuring their own compliance with applicable tax laws.

Minor Accounts (13–17): Minors have full platform access, but parental approval is required for all fiat purchases and sales. Funds from sales are routed exclusively to the parent's or guardian's linked Stripe account. Parents may set daily and weekly spending limits for purchases.

Child Accounts (under 13, COPPA): Users under 13 are subject to the Children's Online Privacy Protection Act (COPPA) and its 2025 and 2026 amendments. Account activation requires Verifiable Parental Consent (VPC). The parent or legal guardian account is the legal owner of all digital assets held in the child's collection. All trades and fiat sales require dual approval: the child initiates, and the parent confirms through the Parent Dashboard.

ALL‑SCRATCH!® may deny, suspend, revoke, or condition access if it determines that information is inaccurate, parental consent is invalid or has been revoked, or access could create regulatory, safety, security, or legal risk.

The ALL‑SCRATCH!® mechanic is protected by US Patent 12,293,681 B2 and its international equivalents. The mechanic operates as follows:

1. 01The user makes a physical mark on any surface (scratch, drawing, or symbol of self-expression).
2. 02The user photographs the mark and uploads it to THE HERO application.
3. 03ALETHA™ prompts the user to tell a brief story about their scratch.
4. 04ALETHA™ evaluates the photograph and story for safety, creativity, and authenticity.
5. 05ALETHRA™ certifies the submission.
6. 06Upon certification, the Hero Card is minted as an NFT on the ALETHRA™ governed blockchain.

This process is the core of the platform. Users do not pay a fee to mint a Hero Card. Minting is free and triggered by the physical action of scratching. Rarity is determined by ALETHA™'s evaluation algorithms, not by random chance or payment.

THE HERO Marketplace allows users to list, buy, sell, and trade Hero Cards for fiat currency. By participating in the marketplace, you agree to the following rules.

Fee Structure and Charity Routing: ALL‑SCRATCH!® does not profit from marketplace transactions. A 5% seller fee is deducted from every fiat sale and routed entirely to designated charitable organizations (WWF, WHO, or user-selected partners). A 2.5% creator royalty is deducted from every resale and paid to the original user who minted the card. Buyers pay no additional fee.

Example: A user mints a Legendary Hero Card and lists it for $5,000. The buyer pays $5,000. The seller receives $4,750. WWF or WHO receives $250. On every future resale of that card, the original minter receives 2.5% of the sale price in perpetuity.

Fiat Transactions and Stripe: All fiat payments and payouts are processed by Stripe Connect. You must agree to the Stripe Connected Account Agreement to receive payouts. ALL‑SCRATCH!® does not hold, custody, or control your funds at any point. Payouts are subject to a standard holding period for fraud prevention. For minor accounts, all payouts are routed to the parent's or guardian's linked account only.

Finality of Transactions: All blockchain transactions, including fiat sales and card-for-card trades, are final and irreversible once executed on the ALETHRA™ governed ledger. ALL‑SCRATCH!® does not offer refunds for completed marketplace purchases, except where required by applicable consumer protection law.

ALETHA™ Trade Governance: ALETHA™ evaluates all peer-to-peer trade proposals in real time. Trades deemed exploitative (Fairness Score below 0.30) are hard-blocked. Trades deemed imbalanced (Fairness Score 0.30 to 0.69) are routed to the Parent Dashboard for guardian review before execution. Fair trades (Fairness Score 0.70 and above) are auto-approved and proceed to the receiving party for acceptance.

Minimum Listing Price: No card may be listed for less than $0.50. ALETHA™ will flag listings that are significantly above or below the market average for that rarity tier, but such flagging does not prevent the listing from proceeding.

For all accounts linked to a minor, the Parent Dashboard is the control center for marketplace activity. Parents may:

• Approve or deny any pending fiat sale or purchase.
• Approve or deny any pending peer-to-peer trade.
• Set daily and weekly spending limits for purchases.
• Set minimum acceptable sale prices to prevent underselling.
• View the complete transaction history for the minor's account.
• Toggle marketplace access on or off at any time.

Transactions involving minors will not execute on the blockchain until the parent or guardian has explicitly approved them through the Parent Dashboard. ALETHA™ will send a push notification to the parent for every transaction requiring approval.

You must not engage in any activity that undermines the integrity of the platform, the community, or the marketplace. Prohibited conduct includes, but is not limited to:

• Wash Trading: buying and selling cards between accounts you control or coordinate with others to artificially inflate prices, volume, or perceived value.
• Price Manipulation: coordinating with others to artificially inflate or deflate marketplace prices.
• Inappropriate Content: uploading scratch photographs or stories that contain profanity, explicit imagery, hate speech, personally identifiable information, or content that violates the rights of others. ALETHA™ will automatically reject such content before it reaches the community.
• Bypassing Controls: attempting to circumvent COPPA age gates, parental approval controls, ALETHA™ moderation, or ALETHRA™ authorization systems.
• Intellectual Property Infringement: uploading copyrighted material, trademarks, or third-party content that you do not have the right to use.
• Account Sharing or Impersonation: sharing account credentials, impersonating another user, or creating multiple accounts to circumvent platform rules.

ALETHA™ monitors all marketplace activity in real time. Accounts exhibiting suspicious behavior are automatically frozen pending review. ALL‑SCRATCH!® reserves the right to freeze accounts, reverse pending transactions, forfeit fraudulently obtained assets, and permanently ban users who engage in fraud or prohibited conduct.

Platform Intellectual Property: The ALL‑SCRATCH!® name and registered trademark (US registered, with coverage in Mexico, India, EU, and PCT countries), the ALETHRA™ and ALETHA™ marks, the Hero Card designs, and the underlying patented technology (US Patent 12,293,681 B2 and international equivalents) are the exclusive property of ALL‑SCRATCH! INC. Unauthorized use of these marks or the patented mechanism is prohibited.

NFT Ownership and License: When you mint or purchase a Hero Card, you own the cryptographic token recorded on the ALETHRA™ governed blockchain. You have the right to display, trade, and sell that specific token within THE HERO platform. You do not own the copyrights, trademarks, or intellectual property of the artwork, text, or brand logos contained within the card. You may not reproduce, distribute, commercialize, or create derivative works from the card artwork outside of the platform without written authorization from ALL‑SCRATCH!® INC.

User-Generated Content License: By uploading a photograph and story, you represent that you own or have the right to use that content. You grant ALL‑SCRATCH!® a worldwide, royalty-free, sublicensable, perpetual license to use, modify, display, and distribute that content as part of the Hero Card and platform promotional materials.

Licensed Collections: Certain Hero Card collections may feature licensed intellectual property from third-party rights holders (estates, entertainment franchises, sports organizations, fashion brands). Your ownership of such a card does not grant you any rights to the underlying licensed IP. Use of licensed IP is governed by the specific terms of each licensing agreement.

Not Gambling: THE HERO is not a gambling platform under the laws of the United States or Mexico. Hero Cards are earned through a free physical action (scratching a surface the user already possesses) and creative expression (storytelling). Users do not pay a fee for the chance to win a randomized prize. The element of “consideration” required to constitute gambling under US federal and state law is absent. Rarity is determined by ALETHA™'s evaluation of the user's submission, not by pure random chance.

Not Securities: Hero Cards are digital collectibles designed for educational and entertainment purposes. They are not investment contracts, securities, financial instruments, or shares in any enterprise. Under SEC/CFTC Interpretive Release No. 33-11412 (March 17, 2026), digital collectibles designed for use and collection, without intrinsic economic properties or rights, are classified as non-securities. ALL‑SCRATCH!® makes no representation or guarantee that Hero Cards will increase in value. You should not acquire Hero Cards with the expectation of profit derived from the efforts of ALL‑SCRATCH!® or any third party.

ALETHA™ is an autonomous operating intelligence designed to moderate content, evaluate trades, and provide educational feedback. ALETHA™ does not provide medical, legal, financial, or professional advice of any kind. Educational content generated by ALETHA™ is intended for general informational and entertainment purposes only.

While ALETHA™ strives for accuracy in educational content, ALL‑SCRATCH!® does not guarantee the factual correctness of AI-generated statements. Users should independently verify any factual claims before relying on them. ALETHA™ outputs may be incomplete, contextually incorrect, or unsuitable for a specific user's circumstances.

You are responsible for maintaining the confidentiality of your account credentials and PIN. You must promptly notify ALL‑SCRATCH!® at legal@allscratch.com of any suspected unauthorized access, credential compromise, or breach of these Terms. You may not share accounts, impersonate another user, bypass access controls, scrape platform content, reverse engineer protected systems, or interfere with platform security.

ALL‑SCRATCH!® and ALETHRA™ may monitor, log, and audit all platform activity, including marketplace transactions, content uploads, ALETHA™ interactions, and account access. Logs may include user identifiers, IP addresses, timestamps, device information, and transaction records. ALL‑SCRATCH!® may suspend, revoke, or restrict access at any time if it identifies suspected fraud, policy violations, regulatory risk, or breach of these Terms.

Users are solely responsible for determining and fulfilling their own tax obligations arising from marketplace activity. ALL‑SCRATCH!® will issue IRS Form 1099-K to US sellers who exceed the applicable reporting threshold in gross payments. For Mexican users, ALL‑SCRATCH!® will withhold the applicable ISR and VAT amounts as required by the 2026 Mexico tax reform and remit those amounts to the SAT. You are encouraged to consult a qualified tax professional regarding your specific obligations.

To the maximum extent permitted by applicable law, ALL‑SCRATCH! INC. and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or digital assets, resulting from your access to or use of the platform, the marketplace, or the ALETHRA™ infrastructure. ALL‑SCRATCH!®'s total liability to you for any claims arising under these Terms shall not exceed the greater of $100 USD or the total fees you paid to ALL‑SCRATCH!® in the twelve months preceding the claim.

You agree to indemnify, defend, and hold harmless ALL‑SCRATCH! INC. and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your violation of these Terms, your user-generated content, your marketplace activity, or your violation of any applicable law.

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the ALL‑SCRATCH!® platform shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in the jurisdiction where ALL‑SCRATCH! INC. is headquartered. You waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights.

ALL‑SCRATCH!® may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where required by law, obtaining your consent or the consent of a parent or guardian. Your continued use of the platform after the effective date of any modification constitutes your acceptance of the revised Terms.
